Applicable Law: These Terms of Service (the "Terms") are governed by and construed in accordance with the laws of Malaysia, including but not limited to the Consumer Protection Act 1999, the Sale of Goods Act 1957, the Personal Data Protection Act 2010 (PDPA), and relevant regulations issued by the Ministry of Domestic Trade and Consumer Affairs (KPDNHEP) of Malaysia.
Welcome to CozyTeaCorner ("we", "us", "our"), an online store operating on the Shopify platform at cozyteacorner.myshopify.com (the "Store"). These Terms set out the legal relationship between you ("you", "your") as a user of our Store or a purchaser of our products and us. By accessing, browsing, or using our Store, or placing an order for any product through our Store, you acknowledge that you have read, understood, and unconditionally agreed to be bound by these Terms, as well as our Privacy Policy and Return & Refund Policy (which are incorporated herein by reference).
1. Scope of Services
1.1 Our primary service is to provide you with high-quality tea products (including but not limited to loose-leaf tea, tea bags, tea sets, and tea accessories) through our Store, and to arrange for the delivery of such products to your designated address in Malaysia.
1.2 We reserve the right to modify, suspend, or discontinue any part of our services (including adding or removing product categories) at any time, with or without prior notice to you. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the services.
1.3 The services provided by our Store are only available to individuals or entities who are legally capable of entering into contracts under Malaysian law. If you are under the age of 18, you must obtain the consent of your parent or legal guardian before using our services or placing an order.
2. Account Registration and Management
2.1 To place an order or use certain advanced functions of our Store, you may need to register an account. When registering, you must provide true, accurate, complete, and up-to-date personal information (including name, email address, phone number, and shipping address). You shall be responsible for the authenticity and validity of the information provided.
2.2 You are solely responsible for maintaining the confidentiality of your account username and password, and for all activities conducted under your account. You agree to immediately notify us at cozyteacorner@outlook.com if you become aware of any unauthorized use of your account or any other security breach.
2.3 We shall not be liable for any loss or damage arising from your failure to properly maintain the security of your account or your failure to notify us of unauthorized use. You agree to indemnify and hold us harmless from any claims, losses, or damages caused by the unauthorized use of your account.
2.4 You may terminate your account at any time by contacting our customer service team via email. Upon termination, we will cease to provide you with services related to the account, but we will retain your personal data in accordance with our Privacy Policy and relevant laws.
3. Order Placement and Confirmation
3.1 When placing an order through our Store, you must carefully review the product information (including name, specification, price, and quantity), shipping address, and payment method before submitting the order. Submission of an order constitutes your offer to purchase the products specified in the order in accordance with these Terms.
3.2 After you submit an order, we will send you an order confirmation email to the email address you provided, acknowledging receipt of your order. Please note that this order confirmation does not constitute acceptance of your offer; it merely confirms that we have received your order.
3.3 We reserve the right to accept or reject your order for any reason, including but not limited to: (a) insufficient inventory of the product; (b) incorrect product pricing or description; (c) suspicion of fraudulent activity; (d) your violation of these Terms; or (e) other reasonable grounds. If we reject your order, we will notify you via email and refund any payment you have made in full within a reasonable time.
3.4 Acceptance of your order will occur when we dispatch the product and send you a shipping confirmation email (which will include the tracking number). At this point, a binding contract will be formed between you and us for the purchase of the product.
4. Pricing and Payment
4.1 All product prices displayed on our Store are in Malaysian Ringgit (MYR) and include the Goods and Services Tax (GST) in accordance with Malaysian law, unless otherwise stated.
4.2 We strive to ensure that the product prices displayed on our Store are accurate, but errors may occasionally occur. If we discover a pricing error after you have placed an order, we will notify you immediately. You may choose to cancel the order (and we will refund any payment made) or accept the correct price. If we are unable to contact you, we will cancel the order and refund any payment made.
4.3 You must pay for the order in full at the time of placing the order using one of the payment methods supported by our Store (including but not limited to credit card, debit card, PayPal, Maybank2u, and other third-party payment gateways). All payments are processed through authorized third-party payment service providers, and we do not store your full payment card information (in compliance with the PDPA).
4.4 If your payment is rejected or fails to process for any reason (e.g., insufficient funds, expired card, or fraud alert), your order will not be processed. We will notify you of the payment failure, and you may need to update your payment information and re-submit the order.
5. Delivery and Risk of Loss
5.1 We will arrange for the delivery of the products to the shipping address you provided in your order. We work with authorized logistics partners (including but not limited to Pos Malaysia, GDEX, and J&T Express) to ensure timely delivery.
5.2 The estimated delivery time is displayed on the product page or during the checkout process. This is only an estimate, and we will make reasonable efforts to deliver the products within the estimated time. However, we shall not be liable for any delay in delivery caused by factors beyond our reasonable control, including but not limited to natural disasters, transportation disruptions, customs delays, or incorrect shipping information provided by you.
5.3 The risk of loss or damage to the products will pass to you upon delivery of the products to the shipping address. You are responsible for inspecting the products upon receipt. If the products are damaged or missing, you must notify us within 3 business days of delivery (in accordance with our Return & Refund Policy) and provide relevant evidence (such as photos or videos of the packaging and the product).
5.4 Shipping costs are calculated based on the weight of the products, the shipping address, and the selected delivery method. The shipping cost will be displayed to you during the checkout process, and you must pay the shipping cost together with the product price unless a free shipping promotion applies.
6. Product Information and Quality
6.1 We strive to provide accurate and detailed product information (including descriptions, specifications, ingredients, expiration dates, and images) on our Store. However, we do not warrant that the product information is 100% error-free, complete, or up-to-date. If you have any questions about the product information, please contact us before placing an order.
6.2 All our products comply with Malaysian quality and safety standards (including the Food Act 1983 for food-grade tea products). We source products from reputable suppliers and conduct quality inspections to ensure that the products meet the stated quality standards.
6.3 If you receive a product that is defective, does not match the product information, or fails to meet the quality standards, you may return the product in accordance with our Return & Refund Policy and request a refund, replacement, or store credit.
7. Intellectual Property Rights
7.1 All intellectual property rights in and to our Store (including but not limited to website design, logos, trademarks, service marks, product names, images, text, and software) are owned by us or our licensors. These intellectual property rights are protected by Malaysian and international intellectual property laws.
7.2 You are permitted to access and use our Store for personal, non-commercial purposes only. You shall not copy, reproduce, distribute, modify, display, perform, or create derivative works of any part of our Store or its content without our prior written consent.
7.3 Any user-generated content (such as product reviews, comments, or feedback) that you submit to our Store shall be deemed non-confidential and non-proprietary. By submitting such content, you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and worldwide license to use, reproduce, distribute, modify, display, and perform the content for any purpose related to our business.
8. User Obligations
8.1 When using our Store, you agree not to: (a) engage in any fraudulent, illegal, or unauthorized activity (such as using stolen payment cards, placing fake orders, or impersonating others); (b) upload, post, or transmit any harmful, offensive, defamatory, obscene, or illegal content; (c) interfere with or disrupt the operation of our Store or the servers and networks connected to our Store; (d) use any automated tools (such as bots, crawlers, or scrapers) to access or collect data from our Store without our prior written consent; (e) violate any applicable laws, regulations, or these Terms.
8.2 You shall be liable for any loss or damage caused to us or any third party as a result of your violation of these obligations. You agree to indemnify and hold us harmless from any claims, lawsuits, losses, damages, or expenses (including legal fees) arising from your violation of these Terms.
9. Limitation of Liability
9.1 To the maximum extent permitted by Malaysian law, we shall not be liable to you for any indirect, special, incidental, consequential, or punitive damages (including but not limited to loss of profits, loss of business opportunities, or loss of data) arising from or in connection with your use of our Store or the purchase of our products, regardless of the cause of action (whether in contract, tort, negligence, or otherwise).
9.2 Our total liability to you for any direct damages arising from or in connection with these Terms or the use of our services shall not exceed the total amount paid by you for the specific product that caused the damage.
9.3 Nothing in these Terms shall limit or exclude our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any other liability that cannot be limited or excluded by applicable Malaysian law.
10. Indemnification
You agree to indemnify, defend, and hold harmless CozyTeaCorner, its directors, officers, employees, agents, and licensors from and against any and all claims, lawsuits, demands, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of our Store or services; (b) your violation of these Terms or any applicable laws or regulations; (c) your violation of the rights of any third party (including intellectual property rights, privacy rights, or contractual rights); (d) any content you submit to our Store.
11. Termination
11.1 We may terminate or suspend your access to our Store or services at any time, with or without prior notice, if you violate these Terms, engage in fraudulent or illegal activity, or for any other reasonable reason.
11.2 Upon termination, all rights and licenses granted to you under these Terms will immediately cease. You must cease using our Store and services immediately. The provisions of these Terms that by their nature should survive termination (including but not limited to intellectual property rights, limitation of liability, indemnification, and dispute resolution) will continue to apply.
12. Third-Party Services
Our Store may contain links to third-party websites, services, or products (such as payment processors, logistics providers, or social media platforms). These third-party services are not controlled by us, and we do not endorse or assume any responsibility for the content, privacy policies, or practices of any third party. You use third-party services at your own risk, and you should review the terms of service and privacy policies of such third parties before using their services.
13. Changes to These Terms
We reserve the right to modify or update these Terms at any time to comply with changes in Malaysian laws and regulations or adjustments to our business operations. Any changes will be posted on this page with an updated effective date. If the changes significantly affect your rights and interests, we will notify you via email (sent to your registered email address) or through a prominent notice on our Store at least 7 days before the changes take effect.
Your continued access to or use of our Store or services after the changes take effect constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
14. Dispute Resolution
14.1 If you have any disputes or complaints regarding our Store, products, or services, you should first contact us at cozyteacorner@outlook.com to attempt to resolve the issue through friendly negotiation. We will respond to your inquiry within 3 business days and work with you to find a satisfactory solution.
14.2 If the dispute cannot be resolved through negotiation, you may submit the dispute to the Malaysian Consumer Claims Tribunal (Tribunal Tuntutan Pengguna) in accordance with the Consumer Protection Act 1999 for settlement. If the claim amount exceeds the jurisdiction of the Consumer Claims Tribunal, the dispute shall be submitted to the courts of Malaysia for resolution.
